Terms and Conditions

MatchaCode is a family of coding agents that run on your machine. There is no account and no product cloud.

We provide the harness, not a model service, and we do not charge a product fee.

Using this site or the products means you agree to these terms. Model requests go to the Provider you choose and follow that Provider's terms.

Agreement

These terms are an agreement between you and Shenzhen Jianjiezhiyuan Technology Co. Ltd. (深圳简界智元科技有限公司). They apply to this website and to MatchaCode products that run locally with your own API key: Matcha CLI, and, when released, the IDE plugin, desktop app, and mobile app.

Using this site, or installing or running the products, means you accept these terms. If you do not accept them, stop using the site and the products.

How personal information is handled is described in the privacy policy (/privacy and /cn/privacy). These terms do not replace that policy.

The product

MatchaCode appears in more than one surface. The surface available now is Matcha CLI. The IDE plugin, desktop app, and mobile app are coming soon. They are not available to download.

The products run on your machine. We provide a local harness: it can read a repository, edit files, and run commands, and it sends inference requests to the Provider you configure. There is no MatchaCode account and no product cloud.

MatchaCode is not a model vendor. xAI, OpenAI, Anthropic, or any other Provider appears only as a third party you choose.

License

If you follow these terms, Jianjiezhiyuan lets you use this site and the products for your own development work.

If the software is distributed under the Apache License 2.0, that license governs the copyright grant. These terms govern the relationship of use: responsibility, third-party services, and brand. If they conflict on the copyright grant for the code, Apache-2.0 controls.

The MatchaCode name, wordmark, and other brand marks are not licensed by the software license. Brand use beyond identification, description, and what the law already allows needs written permission from Jianjiezhiyuan.

Fees

MatchaCode itself is free for now. We do not bill you and we do not collect payment data.

Model usage is billed by the Provider you choose, on that Provider's prices. Whether Ollama or an endpoint you host costs money is your own arrangement.

If a future surface starts charging a fee from us, we will update these terms first.

API keys

You use your own API key. Keys stay on your device. Login does not open a browser and does not create a MatchaCode account.

A key is sent only to the matching Provider endpoint. Jianjiezhiyuan does not receive your keys.

You are responsible for keeping the key safe and for following that Provider's terms and usage limits. You bear the cost of stolen keys or model usage.

Your use and responsibility

You must have legal capacity to enter these terms. MatchaCode is a tool for developers.

Matcha CLI can read the repository you point it at, edit files, and run commands. It plans before it edits, but a plan is not a guarantee. You must review the changes and the commands that will run.

You are responsible for what happens on your machine, including lost files, a broken repository, leaked secrets, and content sent to a Provider.

You represent that you have the right to work with that material and to send it under the rules of the Provider you choose.

You may not use the products for illegal activity, or to avoid duties you owe to a third party.

Third-party Providers

Requests go directly to the Provider you choose: xAI, OpenAI, Anthropic, Ollama, or an OpenAI-compatible endpoint.

A turn may include your prompt, project rules, attached files, conversation history, tool definitions, and tool results such as file contents, diffs, and command output.

MatchaCode does not proxy that traffic or keep a copy on a MatchaCode server. There is no MatchaCode inference cloud.

Those Providers process data under their own terms and privacy policies and may charge for model usage. Their policies may allow processing your content to provide the service, for security, or (if they say so) to improve models. Jianjiezhiyuan does not control that processing.

Disputes between you and a Provider are for that Provider.

MCP and local extensions

MCP servers, skills, local plugins, or hooks you configure may send data to those tools, and into the model context.

That sharing happens only after you connect them. This build has no MatchaCode plugin marketplace. Those tools are governed by their own providers' terms.

This website

This site is a static product page. There is no login and no form.

The hosting provider may keep technical logs such as IP address, browser identifier, time, and URL, to operate and protect the site.

If you email legal@simplify-net.com, we receive the address and content you send.

Surfaces that are coming soon

The IDE plugin, desktop app, and mobile app are coming soon. They are not available to download, and they are not available to use as shipped products.

When they ship, they are intended to follow the same local runtime and bring-your-own-key practice described in these terms.

If a future surface adds an account, cloud sync, collection by us, or a fee from us, we will update these terms and the privacy policy first.

Intellectual property

This site, the MatchaCode products, and the MatchaCode name and marks are owned by Jianjiezhiyuan or its licensors.

Your repository, prompts, and output remain yours (or your licensors'). We do not claim ownership of that material because you used a local product.

Upstream code, third-party dependencies, and their original licenses remain in force. These terms do not change those licenses.

No warranty

To the extent the law allows, this site and the products are provided "as is" and "as available", without express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that output is correct, safe, complete, or fit to merge into your project. The agent may produce wrong code, delete or rewrite files, or run commands you did not expect.

You use the products at your own risk. Backups, reviewing diffs, and trying changes in an isolated environment are your responsibility.

Limitation of liability

To the extent the law allows, Jianjiezhiyuan is not liable for indirect, incidental, special, punitive, or consequential damages, including loss of profit, goodwill, data, or business interruption, even if told they might occur.

For MatchaCode itself, our total liability under these terms is limited to the amount you actually paid us for that product. That amount is currently zero.

Liability the law does not allow us to exclude or limit is not affected, such as personal injury caused by willful misconduct or gross negligence.

Governing law

These terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules.

Disputes arising from these terms are subject to the jurisdiction of the people's court with authority at Jianjiezhiyuan's domicile.

Rights that mandatory law where you live gives you, and that a contract cannot take away, still apply.
